These Terms are an agreement between Meridyon, Inc., a Delaware corporation (“Meridyon”, “we”, “us”) and the organization that signs up for or uses Meridyon (“Customer”, “you”). They cover Meridyon Schedule, Meridyon Pipeline, and the related websites, apps, APIs, and support (together, the “Service”). We wrote them in plain English and tried to make them terms we would be happy to sign ourselves.
Organizations. If you sign up on behalf of a group, practice, department, or health system, you confirm you are allowed to accept these Terms for it. The organization is the Customer.
People invited by their organization. If your employer or group invited you, you use Meridyon under your organization’s agreement with us. Section 15 explains what that means for you and the rights you keep as an individual.
Signed agreements win. If your organization has a signed agreement with us (for example an order form, master agreement, Data Processing Addendum, Business Associate Agreement, or Service Level Agreement), that agreement controls wherever it conflicts with these Terms.
You own it. As between us, you own Customer Data and Output. These Terms give us no rights in it except the limited permission below.
What we do with it. You give us permission to host, copy, process, transmit, and display Customer Data only as needed to: provide and support the Service; keep it secure, including detecting abuse and fixing errors; and follow your instructions (including those given through the app’s settings). Our full privacy commitments are in the Privacy Policy.
Usage information. We collect limited information about how the Service is used — for example which features are used, error reports, and the questions people ask the in-app assistant — to operate, secure, support, and improve the Service. We will not use it to market to your Users or share it in a form that identifies you or your people.
Export, anytime. You can export your data whenever you like, at no charge and without asking us: schedules (CSV/Excel), personal calendar feeds (iCal), audit logs (CSV or JSON), Pipeline compliance reports (CSV/Excel), and read-only API access to published schedules. If you need data the built-in exports don’t cover (for example staff records, targets, or settings), ask us and we will provide it in a standard format at no charge within 30 days.
Deletion. You can delete records in the app, and you can ask us at any time to delete your organization’s account and data. When your subscription ends (or you ask us to delete it), you have 30 days to export, during which the account is read-only. We then delete Customer Data from our production systems; backup copies age out within a further 30 days. We will confirm deletion in writing on request. We may keep (a) billing records we are legally required to keep and (b) audit-log records of security and administrative events for up to 2 years after the account ends, which stay protected under these Terms and the Privacy Policy.
Meridyon schedules clinicians, not patients. It is PHI-free by design and is not built to hold patient records.
Use the Service lawfully and for your organization’s own scheduling, staffing, and recruiting. Please don’t, and don’t let anyone else:
If something goes wrong. For a paying customer, we will give notice and a reasonable chance to fix a problem before suspending, unless there is an active security threat, a risk of harm to the Service or others, or a legal requirement to act at once. We suspend only what is needed, tell the account owner why, and restore access promptly once resolved. Suspension never affects your right to export your data.
Meridyon is a workforce-scheduling tool. It is not a medical device, does not give medical advice, and is not an emergency or paging system.
Each of us will protect the other’s non-public information shared under these Terms with at least reasonable care, use it only for this relationship, and share it only with people who need it and are bound to keep it confidential. Customer Data is your confidential information. Non-public product information (for example help content behind sign-in, roadmap, and non-public pricing) is ours. This doesn’t cover information that is public through no fault of the recipient, already known to it, independently developed, or rightfully received from someone else. A party may disclose information when the law requires it, after giving notice where allowed.
If your employer or group invited you:
We own the Service, including its software, design, and help content; these Terms grant you a right to use it during your subscription, not ownership. You own Customer Data and Output (Section 6). If you send ideas or feedback, we may use them without obligation to you; feedback is never required and doesn’t give us any rights in your Customer Data.
We warrant that the Service will perform materially as described in our documentation and that we won’t materially reduce its overall security during your subscription. If we breach this warranty, tell us; we will work to fix it, and if we can’t within a reasonable time you may terminate and receive a pro-rata refund of prepaid, unused fees.
Apart from the commitments in these Terms, the Service is provided “as is” and, to the extent the law allows, we disclaim implied warranties such as merchantability, fitness for a particular purpose, and non-infringement. We don’t promise the Service will be uninterrupted or error-free.
We defend you. If a third party claims that the Service, as we provide it, infringes or misappropriates their intellectual property, we will defend you and pay the resulting damages, costs, and settlements we agree to. If the Service is, or we think it may be, the subject of such a claim, we may modify it, get you the right to keep using it, or, if neither is reasonable, end the affected part and refund prepaid, unused fees. We are not responsible for claims caused by Customer Data, your changes to or combinations with the Service that we didn’t provide, or use in breach of these Terms.
You defend us against third-party claims that Customer Data, or your use of the Service in breach of Section 7 or 8, infringes their rights or violates the law.
How it works. The party seeking defense must tell the other promptly, let it control the defense and settlement (no settlement may admit fault or impose obligations on the defended party without its consent), and give reasonable help at the defending party’s expense.
